Terms of use

These terms set out what you can expect from the Mosaic Group website, what Mosaic Group asks of you in return, and how enquiries submitted through the site are handled.

Agreement to these terms

These terms of use are an agreement between you and Mosaic Group LLC (“Mosaic Group”) covering your use of this website. By using it you accept these terms. If you do not accept them, do not use the website.

Mosaic Group may change these terms. The version and date at the top of the page show which version applies, and using the website after a change takes effect means you accept the revised terms.

Who may use this website

This website is for business use. You confirm that you are acting in the course of a business, that you are at least 18 years old, and that you have the authority to bind the organisation you represent, where relevant.

If you use the website on behalf of an organisation, you confirm that organisation accepts these terms and that you are authorised to act for it. Mosaic Group may refuse access, or ask you to stop using the website, if it considers that you are not able to give these confirmations.

What this website is not

This website provides information about Mosaic Group and its approach to asset-based finance. It is not an offer to sell or a solicitation of an offer to buy any security, fund interest or financial product, not an offer of financing, and not advice of any kind. The legal notice explains this in more detail.

Using the website, submitting an enquiry or receiving a reply does not create a client, advisory, fiduciary, partnership or joint venture relationship between you and Mosaic Group, and does not oblige Mosaic Group to offer, underwrite, fund or proceed with anything.

Your permitted use

Mosaic Group gives you a limited, non-exclusive, non-transferable, revocable permission to access this website and to view, download and print pages for your own internal business reference, provided you do not alter the content and you keep all ownership notices intact.

All other use requires Mosaic Group’s prior written permission.

Acceptable use

You agree that you will not:

  • use the website for an unlawful purpose, or in a way that infringes the rights of Mosaic Group or anyone else

  • submit false, misleading, incomplete or another person’s information, or attempt to misrepresent your identity or your eligibility

  • use the enquiry form to send unsolicited marketing, to test or probe the service, or to submit automated, bulk or repeated enquiries without Mosaic Group’s permission

  • attempt to gain unauthorised access to the website, its systems or any account, or to interfere with, disable or overburden it

  • reverse engineer, decompile or attempt to derive the source of any part of the website or its technology

  • introduce viruses, malware or other harmful code, or upload content that is unlawful, defamatory or offensive

  • scrape, systematically extract or reuse content, data or the design of the website without permission

  • use the Mosaic Group name, logo or mark, or imply any affiliation, approval or endorsement, without permission

Mosaic Group may suspend or block access where it reasonably believes these terms have been breached, and may report unlawful conduct to the relevant authorities.

Submitting an enquiry

The enquiry form asks for information that lets a partner understand your situation and route your enquiry. You confirm that the information you provide is accurate and complete, that you are entitled to share it, and that you will tell Mosaic Group if it changes in a way that matters.

Please keep confidential third-party information out of the form unless it is needed to describe the opportunity. Send sensitive material only through a channel Mosaic Group has agreed with you.

Submitting an enquiry is not a commitment, an application or an offer. Mosaic Group may contact you, ask for further information, decline to respond, or refer your enquiry elsewhere. Programs currently start at US$10 million; enquiries below that threshold are logged and not routed to capital partners or origination partners.

Representations by investors

If you select an investor or capital partner category, you represent that you meet the eligibility category you choose under the rules of your own jurisdiction, and that you are able to receive information about programs that are restricted to accredited, professional or institutional investors.

Mosaic Group may ask you to evidence that status, may restrict what it shares until it is satisfied, and may decline to proceed. Nothing in the form or in a reply constitutes an offering.

Information you send

Mosaic Group treats information submitted through the enquiry form as confidential and uses it as described in the privacy policy. That does not prevent disclosure where Mosaic Group is required by law, regulation, court order or a request from a competent authority.

Mosaic Group does not undertake to return or delete documents you send other than as described in the privacy policy, and is not obliged to keep information confidential where it is already public or lawfully obtained from another source without restriction.

Where the parties agree a mandate, confidentiality is governed by the definitive documents they execute, which supersede this clause between them.

Third-party links

The website links to third-party pages, including the LinkedIn profiles of individual partners. Mosaic Group does not control them, is not responsible for them, and their terms and privacy practices apply to your use of them.

Availability and changes

Mosaic Group may change, suspend or withdraw the website, or any part of it, at any time, including for maintenance, and may restrict access in a jurisdiction where doing so is needed for legal or regulatory reasons.

Mosaic Group does not promise that the website will be available, uninterrupted, secure or free of errors, or that any defect will be corrected.

Ownership of content

All text, design, layout, data and branding on this website belong to Mosaic Group LLC or its licensors and are protected by copyright, trademark and other laws. No rights are granted to you other than the limited permission in Your permitted use.

Disclaimer

To the maximum extent permitted by law, the website and everything on it are provided “as is” and “as available”, and Mosaic Group LLC gives no warranties, express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.

Without limiting that, Mosaic Group does not warrant that information is complete, current or error free, that the website is secure, or that any outcome described on it will be achieved.

Limitation of liability

To the maximum extent permitted by law, Mosaic Group LLC and its partners, members, employees and agents are not liable for any loss or damage arising from your use of, or inability to use, this website, including direct, indirect, incidental, special, consequential and punitive loss, and loss of profit, revenue, goodwill or data, whether in contract, tort, negligence or otherwise, even if the possibility of such loss was foreseeable or was communicated.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. Nothing in these terms prejudices rights that cannot be excluded under the mandatory law of your country of residence.

Your responsibility

You are responsible for your use of the website and for any loss suffered by Mosaic Group LLC arising from your breach of these terms, your misuse of the website, or your violation of any law or third-party right in connection with it.

General provisions

  • These terms, together with the privacy policy and the legal notice, are the whole agreement between you and Mosaic Group LLC about your use of this website, and they replace any earlier discussion on that subject.

  • If any provision is found unenforceable, the rest continues to apply and the provision is read as narrowly as needed to make it enforceable.

  • Mosaic Group’s failure to insist on a provision is not a waiver of it, and a waiver on one occasion is not a waiver on another.

  • Mosaic Group LLC may assign or transfer these terms in a corporate reorganisation; you may not assign them without its written consent.

  • These terms are for the parties only and confer no rights on any third party.

Governing law and jurisdiction

These terms are governed by the laws of [governing law, for example the State of Delaware, United States], excluding its conflict of laws rules, and the courts of [forum, for example Delaware] have exclusive jurisdiction, except where mandatory local law gives a protected party the right to bring proceedings elsewhere.
